We therefore treat customer designs and product-development information as confidential business information.

This policy applies to our OEM and private-label glove, workwear and apparel development services.

Information We Keep Confidential

Customer confidential information may include:

• Product ideas and concepts;

• Tech packs and technical drawings;

• Glove and apparel designs;

• TPR, PVC and mould designs;

• Patterns and measurement charts;

• Material specifications and colour combinations;

• Logos, labels and packaging artwork;

• Reference samples and product photographs;

• Sample comments and approval records;

• Prices, quantities and order forecasts; and

• Other non-public information shared for quotation, sampling or production.

Information does not need to be marked “confidential” if it would reasonably be understood to be private or commercially sensitive.

How Our OEM Product Design Confidentiality Works

Customer designs and specifications are used only as reasonably necessary to:

• Evaluate manufacturing feasibility;

• Prepare quotations;

• Develop patterns, samples, moulds or tooling;

• Source required materials;

• Manufacture and inspect approved products;

• Prepare labels and packaging;

• Complete the customer’s order; and

• Maintain production records for authorized repeat orders.

We do not sell customer designs or knowingly provide them to unrelated companies for their own use.

Separate Non-Disclosure Agreement

Our OEM product design confidentiality measures can work alongside a separate Non-Disclosure Agreement for projects involving commercially sensitive designs or technical information.

Limited Access

Access to confidential information is limited, where practicable, to MECHDAM employees and authorized service providers who need it to perform the relevant work.

Where a material supplier, testing laboratory, tooling specialist, printer, packaging supplier or approved production partner must receive information, we share only what is reasonably necessary for that task.

Customer designs are not intentionally disclosed to other customers or competitors.

Website, Catalogue and Marketing Use

MECHDAM will not intentionally publish a customer’s confidential design, logo, branded product, tech pack or unreleased sample on our website, catalogue, social media or marketing materials without the customer’s permission.

Where permission is provided, the agreed material may be used only within the scope of that permission. Customers may withdraw permission for future use by contacting us in writing. This will not require MECHDAM to recall materials already lawfully printed, distributed or published before the withdrawal.

Generic manufacturing images that do not reveal a customer’s identity, confidential specifications or protected design may be used to present MECHDAM’s general production capabilities.

Ownership of Designs and Development Work

Customers retain their rights in the logos, artwork, tech packs, specifications and other materials they provide to MECHDAM.

Ownership of newly developed patterns, CAD files, TPR designs, moulds, tooling, prototypes or other development work will be determined by the applicable quotation, development agreement, purchase order or other written terms.

Payment for sampling, tooling or production does not automatically transfer ownership of every manufacturing method, production file, pattern or item of intellectual property unless the transfer is expressly agreed in writing.

MECHDAM retains ownership of its pre-existing knowledge, production techniques, standard patterns, manufacturing processes and independently developed technology.

Customer Responsibility

Customers must ensure that they have the legal right to provide and use all designs, logos, trademarks, images and specifications submitted to MECHDAM.

MECHDAM is not responsible for disputes caused by materials supplied without the authorization of their lawful owner. We may suspend development or production if we reasonably suspect that submitted material infringes another party’s rights.

Information Not Covered

Confidentiality obligations do not apply to information that:

• Was already publicly available without a breach of confidentiality;

• Was lawfully known to MECHDAM before receiving it from the customer;

• Was independently developed without using the customer’s confidential information;

• Was lawfully received from another source without confidentiality restrictions;

• Was approved by the customer for disclosure; or

• Must be disclosed under applicable law, court order or a valid request from an authority.

Where legally permitted, we will take reasonable steps to limit a required disclosure to the information requested.

Storage and Retention

We may securely retain designs, specifications, approvals and production records to:

• Complete active orders;

• Maintain quality and product consistency;

• Support authorized repeat orders;

• Resolve complaints or disputes;

• Meet accounting, export or legal requirements; and

• Establish or defend contractual rights.

A customer may request the return or deletion of eligible files. Such requests remain subject to active orders, contractual rights, legal obligations, backup systems and records reasonably required to document completed work.

Confidentiality Period

We protect confidential project information throughout product development, production and the business relationship.

Information qualifying as a trade secret will remain protected for as long as it continues to qualify as a trade secret. Other information will be protected for the period stated in the applicable agreement or for as long as it reasonably remains commercially confidential.

Separate Non-Disclosure Agreement

Customers may request a separate Non-Disclosure Agreement before sharing highly sensitive information.

If a signed NDA, purchase order or manufacturing agreement contains more specific confidentiality terms, the signed agreement will take priority over this general policy for the relevant project.
